These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, and related online services offered under the name Pandafun (collectively, the “Services”), operated by Shanghai Woahology Co., Ltd. (“Woahology,” “we,” “us,” or “our”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Pandafun is a brand and platform through which users may discover, book, or arrange experiences, activities, or related offerings. Woahology operates the Services and may use affiliates, contractors, or partners to provide certain features (such as payment processing or customer support). Additional terms (for example, host or supplier agreements) may apply to specific programs and will be presented where relevant.
You must be able to form a binding contract under applicable law and meet any minimum age we require in your region (typically at least 18 years of age, or the age of majority where you live). You are responsible for providing accurate registration information and for keeping your login credentials secure. You are responsible for all activity under your account unless you notify us promptly of unauthorized use.
We may refuse registration, suspend, or terminate accounts that violate these Terms, pose security or legal risk, or misuse the Services.
The Services may include listings, booking tools, messaging, payments in permitted regions, reviews, and related content. Unless we expressly state otherwise, Woahology provides the platform; independent hosts, operators, or partners (“Hosts”) provide the underlying experiences. Woahology is not the organizer of every listed activity and does not guarantee the performance of any Host unless we say so in writing for a specific offering.
Descriptions, images, schedules, and prices on the Services are typically supplied by Hosts or third-party sources. We aim to keep information accurate but may not always be able to verify every detail. You should review confirmations, meeting points, safety information, and local requirements before participating in any experience.
When you book through Pandafun, you authorize us or our payment partners to charge the applicable fees, taxes, and service charges displayed at checkout, using the payment method you provide. Prices may change before a booking is confirmed. A booking is not confirmed until you receive a clear confirmation from us or the Host (as stated in the product flow).
Cancellations and refunds follow the cancellation policy shown for each experience or fare rule applicable at purchase, and any mandatory consumer rights in your jurisdiction. If a Host cancels or a material element changes, we will use reasonable efforts to offer alternatives, rescheduling, or a refund consistent with that policy and applicable law.
You agree not to circumvent the Services to avoid fees owed to Woahology or Hosts where our policies require booking through Pandafun.

The Services, including software, designs, trademarks (including “Pandafun”), logos, and our proprietary content, are owned by Woahology or our licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive license to use the Services for personal, non-commercial purposes as intended.
You retain rights in content you submit (such as reviews or photos), but you grant Woahology a worldwide, non-exclusive license to host, display, reproduce, modify (for formatting), distribute, and use that content to operate, promote, and improve the Services, including in anonymized or aggregated form where permitted by law.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not allowed. Experiences may involve inherent risks (travel, physical activity, food, weather, third-party transport). You participate at your own judgment and should obtain suitable insurance where appropriate.
To the maximum extent permitted by law, Woahology and its officers, directors, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption, arising from your use of the Services or any experience, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the Services is limited to the greater of (a) the amounts you paid to Woahology through Pandafun for the specific booking giving rise to the claim in the twelve (12) months before the event, or (b) one hundred U.S. dollars (USD 100), except where a mandatory law requires otherwise.
You agree to defend, indemnify, and hold harmless Woahology and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any law or third-party right, except to the extent caused by our gross negligence or willful misconduct as finally determined by a competent authority.
We may suspend or terminate access to the Services at any time for operational, security, or legal reasons, or if you breach these Terms. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, indemnity, and governing law) will survive termination.
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules, subject to any non-waivable consumer protection rules in your place of residence.
Unless mandatory law requires a different forum, you agree that the courts located in Shanghai, China have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, except where applicable law grants you the right to bring claims in your home courts.
We may update these Terms from time to time. We will post the revised version and update the “Last updated” date. Where required by law, we will notify you and obtain consent. Continued use after the effective date of changes constitutes acceptance unless you are entitled to reject the change under applicable law.

If any provision is invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms constitute the entire agreement between you and Woahology regarding Pandafun, superseding prior understandings on the same subject.
